User Agreement	YODYL FREE User Agreement Definitions: Provider: YODYL.com, an Internet business based in San Jose, CA, USA User: any natural person, agent, business, corporation, governmental unit or others for which an account is opened on the YODYL.com server. YODYL Me: an Internet-based text messaging service which facilitates the immediate and scheduled transmission of text (SMS) messages to qualified recipients. Important information about charges for text messaging: 1. Minimum age: this service is intended solely for users who are over 18 years of age. Any registration by or use of this service by anyone under the age of 18 is unauthorized, unlicensed and in violation of these Terms of Use. By using the Service or the Site, you represent and warrant that you are 18 years of age or older and that you agree to and to abide by all of the terms and conditions of this Agreement. 2. YODYL FREE provides limited outbound and inbound text messaging services free of charge. 3. The YODYL FREE user acknowledges that although it is free to send a txt message through the Provider’s web site, there may be charges to the account of the cell phone user who receives your text message. 4. YODYL FREE User understands and accepts that messages sent through YODYL.com and received by their personal cell phone will incur charges as would any other TXT received on their cell phone. 5. The YODYL FREE User, and not the Provider, is sorely responsible for any charges imposed for the delivery or transmission of text messages. Regarding your use of your YODYL Me webpage/service: 1. Your personal YODYL Me webpage and YODYL Me service is provided free of charge. 2. Text messages sent to your cell phone through your YODYL Me web page / services are sent anonymously. The sender will not see your cell phone number and you will not see the cell phone number of the sender. The sender may include contact information at their discretion. 3. YODYL Me users are given access to a personal login area where they can: a) turn their service on or off b) adjust the allowed number of incoming YODYL Me messages per day (up to the daily maximum). c) change the user’s email address d) change the user’s cell phone number General terms of use: 1. Trademarks: the name YODYL and other Provider graphics, logos, designs, page headers, button icons, scripts and service names are registered trademarks, trademarks or trade dress of the Provider in the U.S. and/or other countries. Provider’s trademarks and trade dress may not be used, including as part of trademarks and/or as part of domain names, in connection with any product or service in any manner that is likely to cause confusion. Such protected property may not be copied, imitated, or used, in whole or in part, without the prior written permission of the Provider. Where our computer code causes the display of any of our protected graphic and/or text strings onto web pages or telephones, we maintain ownership and control over those images and text strings. 2. Warrantee: Our YODYL Me text messaging service is provided with no warrantee of suitability nor guarantee of delivery of text messages. We do our best, but your messages travel through networks not under our control. 3. Security: The text messaging environment is NOT secure. Your text messages can be read by others in addition to their intended recipient. 4. Timeliness of delivery: Scheduled text messages are sent at five minute intervals. They may not arrive at the exact time expected. We do our best, but your messages travel through networks not under our control. 5. Scope of use: With respect to your use of YODYL Me, You agree to NOT: a) do anything in an unlawful manner or in any other manner that could damage, disable, overburden or impair the Provider’s services; b) use automated scripts to collect information from or otherwise interact with the Provider’s Service; c) transmit any messages that we deem to be harmful, threatening, unlawful, defamatory, infringing, abusive, inflammatory, harassing, vulgar, obscene, fraudulent, invasive of privacy or publicity rights, hateful, or racially, ethnically or otherwise objectionable; d) register for more than one User account, e) register for a User account on behalf of an individual other than yourself, or register for a User account on behalf of any group or entity without their express permission; f) solicit personal information from anyone under 18 or solicit passwords or personally identifying information for commercial or unlawful purposes; g) transmit, share or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment; h) impersonate any person or entity, or falsely state or otherwise misrepresent yourself, your age or your affiliation with any person or entity; i) intimidate or harass another; post, transmit or otherwise make available content that would constitute, encourage or provide instructions for a criminal offense, violate the rights of any party, or that would otherwise create liability or violate any local, state, national or international law; j) create a false identity on the Provider’s Service or the Site; k) transmit or otherwise make available content that, in the sole judgment of Provider, is objectionable or which restricts or inhibits any other person from using or enjoying the Site or service, or which may expose the Provider or its users to any harm or liability of any type; 7. Liability for misuse: You are solely responsible for your interactions with other YODYL Me users. We reserve the right, but have no obligation, to monitor disputes between you and other users. 8. Liability: The Provider’s site and the Provider’s service may be temporarily unavailable from time to time for maintenance or other reasons. Company assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, User communications. The Provider is not responsible for any technical malfunction or other problems of any telephone network or service, computer systems, servers or providers, computer or mobile phone equipment, software, failure of email on account of technical problems or traffic congestion on the Internet or at any Website or combination thereof, including injury or damage to User's or to any other person's computer, mobile phone, or other hardware or software, related to or resulting from using or downloading materials in connection with the Web and/or in connection with the Provider’s service, including any Mobile Client software. Under no circumstances will the Company be responsible for any loss or damage, including any loss or damage to any User Content or personal injury or death, resulting from anyone's use of the Site or the Provider’s service, any User Content or Third Party Applications, Software or Content posted on or through the Site or the Service or transmitted to Users, or any interactions between users of the Site, whether online or off-line. 9. Termination: You or the Company may terminate your membership, delete your profile and any content or information that you have posted on the Provider’s site or through any Platform Application and/or prohibit you from using or accessing the Service or the Site or any Platform Application (or any portion, aspect or feature of the Provider’s service or the Provider’s site or any Platform Application) for any reason, or no reason, at any time in its sole discretion, with or without notice, including if the Provider believes that you are under 18 years of age. 10. Message Archiving: If your text messages are not delivered for any reason, including cancellation of your recipients’ cell phone service, we can NOT save your messages. 11. Accurate information: You, the YODYL Me user, are responsible for keeping your email address and your cell phone area code and number current in your user profile. 12. Email and Text Contact: We reserve the right to contact our users periodically by text message or email a) to confirm their continued interest in using the YODYL Me service; and b) to offer them additional service(s). 13. Purging of inactive accounts: User accounts with undeliverable email addresses may be removed from the YODYL Me server as soon as they are discovered. 14. Governing Law; Venue and Jurisdiction: By visiting or using the Provider’s site and/or using the YODYL Me Service, you agree that the laws of the State of Delaware, without regard to principles of conflict of laws, will govern these Terms of Use and any dispute of any sort that might arise between you and the Provider or any of our affiliates. With respect to any disputes or claims not subject to arbitration (You and the Provider can mutually agree to arbitration), you agree not to commence or prosecute any action in connection therewith other than in the state and federal courts of California, and you hereby consent to, and waive all defenses of lack of personal jurisdiction and forum non conveniens with respect to, venue and jurisdiction in the state and federal courts of California. 15. Indemnity: You agree to indemnify and hold the Provider, its subsidiaries and affiliates, and each of their directors, officers, agents, contractors, partners and employees, harmless from and against any loss, liability, claim, demand, damages, costs and expenses, including reasonable attorney's fees, arising out of or in connection with any User Content, any Third Party Applications, Software or Content you post or transmit on or through the Site, your use of the Provider’s service or the Site, your conduct in connection with the Provider’s service or the Provider’s Site or with other users of the Provider’s service or the Provider’s site, or any violation of this Agreement or of any law or the rights of any third party. I agree to the User Agreement.
